• Provides strategic and financial advisory services throughout the transaction process.
   
• Assists in securing additional investment partners including debt and equity financing.
   
• May take an active role in post-transaction value creation through board participation or operational involvement.
   

As part of its compensation, Marina Capital Group may receive a portion of its fees in the form of advisor warrants, equity interests, or other contingent securities tied to the success of the transaction. 

These instruments are typically:

• Issued at nominal or preferential pricing.
   
• Designed to align Marina’s long-term interests with those of the client and other stakeholders.
   
• Subject to customary vesting or exercise conditions.
   

This structure enables MCG to act not only as a trusted advisor but also as an aligned partner with a vested interest in the growth and value creation of the enterprise.
